AGREEMENT BETWEEN USER AND MOZAIQ, LLC

The MOZAIQ web site is comprised of various web pages operated by US based MOZAIQ, LLC.

The MOZAIQ web site is offered to you on your unconditional acceptance without modification of any of the terms, conditions, and notices contained herein. Your use of the MOZAIQ web site constitutes your unconditional and irrevocable agreement and acceptance to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

MOZAIQ reserves the right to change the terms, conditions, and notices under which the MOZAIQ web site is offered, including but not limited to the charges associated with the use of the web site. MOZAIQ may at its discretion (without in any manner being answerable and/or called upon to justify) amend these Terms of Use at any time by updating this page. Any changes to these Terms of Use shall also be binding on you. You agree that your continued use of the MOZAIQ web sites or MOZAIQ’ services shall constitute your agreement to such amendments to these Terms of Use.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the MOZAIQ web site, you covenant, undertake and warrant to MOZAIQ that you will not use it’s web site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. • Upload, post, email, transmit or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
• Upload, post, email, transmit or otherwise make available any content that in fringes any patent, trademark, trade secret, copyright, or other proprietary rights, publicity rights, privacy rights or other rights of MOZAIQ, or any third party;
• Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising;
• Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• Interfere with or disrupt the MOZAIQ web sites or servers or networks connected to the MOZAIQ web sites, or disobey any requirements, procedures, policies or regulations of networks connected to the MOZAIQ web sites;
• Provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the Indian Government as a foreign terrorist organization;
• “Stalk” or otherwise harass another user or third-party;
• Collect or store personal data about other users or third party;
• Use any device, software or routine, including but not limited to any viruses, spyware, malware, Trojan horses, worms, time bombs, cancel bots or denial-of-service attacks, intended to damage or interfere with the proper working of the MOZAIQ web sites or any transaction being conducted on our site, or to surreptitiously intercept or expropriate any system, data or personal information from the MOZAIQ web sites;
• “Frame” or “mirror” the MOZAIQ web sites or any portion thereof;
• Take any action that imposes an unreasonable or disproportionately large load on the MOZAIQ infrastructure, including but not limited to “spam” or other such unsolicited mass emailing techniques;
• Use the MOZAIQ web sites in any manner if you are a competitor of MOZAIQ, including without limitation soliciting professional / candidates, or employees of MOZAIQ for any purpose whatsoever;
• Resell or make available to any non-user any of the MOZAIQ’ services, the MOZAIQ web sites or any content on the MOZAIQ web sites, or use the MOZAIQ web sites for any unlawful, commercial, research or information gathering purposes; or
• Delete or revise any material posted by another user on the MOZAIQ web sites, access data not intended for you on the MOZAIQ web sites, or log into an account that you are not authorized to access.

MOZAIQ is under no obligation to monitor the conduct of users on the MOZAIQ web sites or any materials posted thereon, but it may respond when violations are reported. You acknowledge and agree that Company has the rights (but not the obligation) to monitor the MOZAIQ web sites including without limitation all postings by various users. Without prejudice to the MOZAIQ’ other rights as set forth in these Terms of Use, MOZAIQ reserves its right, with or without notice to the applicable user, to remove content posted by a user on the MOZAIQ web sites, remove any user from the MOZAIQ web sites, and/or take any other technical or legal action MOZAIQ deems necessary in the event that MOZAIQ believes, in its sole discretion, that the user is creating problems, possible legal liabilities, violating these Terms of Use, or otherwise acting inconsistently with the letter or spirit of MOZAIQ’ policies. MOZAIQ also reserves its right to report any wrongdoing of which MOZAIQ becomes aware to the applicable government or law enforcement agencies or otherwise.

• Violate any applicable laws or regulations.

MOZAIQ has no obligation to monitor the Communication Services. However, MOZAIQ reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. MOZAIQ reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

MOZAIQ reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in MOZAIQ’ sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. MOZAIQ does not control or endorse the content, messages or information found in any Communication Service and, therefore, MOZAIQ specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. This includes, without limitation, the “mozaiq.ai” and mozaiq.ai design logo, and certain other names and logos used by MOZAIQ, all of which are service marks or trademarks of MOZAIQ. This also includes, without limitation, the “look and feel” of the MOZAIQ web sites (including design, layout, color combinations, shapes and other graphical elements), which is protected by MOZAIQ’ service marks, trademarks and copyrights.

You may not reproduce, reverse engineer, decompile, disassemble, modify or create derivative works of or with respect to the MOZAIQ related services, MOZAIQ web sites or the related intellectual property, and these Terms of Use do not grant you permission to do so. You may not reproduce, modify, display, sell or distribute the content on the MOZAIQ web sites or use it in any other way for public or commercial purpose. MOZAIQ authorizes you to view and download a single copy of the content on the MOZAIQ websites solely for your personal, noncommercial use. You agree to indemnify, defend, and hold harmless MOZAIQ and its affiliates, officers, directors, employees and agents from and against any and all claims, demands, actions, losses, costs, expenses (including without limitation reasonable attorneys’ and professional / candidate and consultant fees), damages or other liabilities, of any kind or nature, (collectively “Liabilities”) which arise out of, result from, allege, or otherwise relate to: (i) your use of the MOZAIQ web sites or the MOZAIQ’ related services, (ii) any information, materials or content you post on the MOZAIQ web sites or otherwise provide to MOZAIQ or another User, (iii) your breach of these Terms of Use, or (iv) any other act of commission and/or omission by you.

TERMINATION/ACCESS RESTRICTION

MOZAIQ reserves the right, in its sole discretion, to terminate your access to the MOZAIQ web site and the related services or any portion thereof at any time, without notice.

Use of the MOZAIQ web site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and MOZAIQ as a result of this agreement or use of the MOZAIQ web site. MOZAIQ’ performance of this agreement is subject to existing laws and legal process and nothing contained in this agreement is in derogation of MOZAIQ’ right to comply with governmental, court and law enforcement requests or requirements relating to your use of the MOZAIQ web site or information provided to or gathered by MOZAIQ with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and MOZAIQ with respect to the MOZAIQ web site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and MOZAIQ with respect to the MOZAIQ web site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

DISPUTE RESOLUTION

You hereto agree, that all disputes and differences arising between them in connection with regard to usage of this site, content and/or any matter relating thereto or arising there from or as to the interpretation thereof, shall be referred to the sole arbitration to be chosen by MOZAIQ, whose decision shall be final and binding on you. You also agrees that they you shall have no objection to MOZAIQ choosing the sole arbitrator. The arbitration proceedings shall be in Tucson, Arizona, USA.

COPYRIGHT AND TRADEMARK NOTICES:

Content on the site is for personal use only and may be downloaded provided the material is kept intact and there is no violation of the copyrights, trademarks, and other proprietary rights. Any alteration of the material or use of the material contained in the site for any other purpose is a violation of the copyright of MOZAIQ and / or its affiliates or associates or of its third-party information providers.
